Proofpoint Acquires Hornetsecurity For $1.8bn

Cybersecurity giant Proofpoint completes its strategic purchase of the German-headquartered cloud security firm

Proofpoint, the Nasdaq-listed leader in human-centric security, has finalised its USD 1.8 billion acquisition of Hornetsecurity Group, a prominent pan-European provider of AI-powered security for Microsoft 365 (M365) environments. The deal dramatically expands Proofpoint’s global footprint and establishes a dedicated channel to serve the sprawling small to midsize business (SMB) and Managed Service Provider (MSP) markets.

The move is strategically crucial for Proofpoint, which has historically focused on large enterprises. By integrating Hornetsecurity—a company with a partner network of over 12,000 MSPs serving 125,000 customers—Proofpoint gains immediate, deep access to the fragmented and high-growth European SMB sector.

Proofpoint CEO Sumit Dhawan framed the acquisition as essential to safeguarding the next evolution of digital threats, particularly those emerging from sophisticated AI. “We’re thrilled to officially welcome Hornetsecurity to Proofpoint and further our mission to protect the emerging agentic workspace for customers of every size,” Dhawan stated. The term “agentic workspace” refers to the increasing use of autonomous AI agents within productivity suites like M365, which simultaneously enhances efficiency and introduces complex new security challenges.

Financial & Strategic Context

The USD 1.8 billion purchase price highlights the perceived value of Hornetsecurity’s platform and its robust growth. The company reports annual recurring revenue (ARR) of nearly $200 million, currently growing at a 20 per cent year-over-year rate. The financial outlay signals Proofpoint’s aggressive intent to consolidate its position in a competitive cloud security landscape.

Hornetsecurity’s flagship product, 365 Total Protection, offers a comprehensive, single-platform approach to M365 security, bundling email security, backup, compliance, and security awareness training. This multi-tenant architecture is specifically designed for the MSP model, allowing channel partners to manage security at scale without the complexity of disparate tools—a key differentiator in the SMB market where resource constraints are common.

Daniel Hofmann, founder and CEO of Hornetsecurity, will continue to lead the unit as an Executive Vice President and General Manager within Proofpoint. He emphasized continuity and shared vision. “Building on our time-tested and well-established channel-centric approach, our combined capabilities, shared threat intelligence, and aligned vision will drive a new level of innovation and value for our partners and customers globally.”

The newly dedicated business unit will focus solely on the MSP and SMB segments, suggesting Proofpoint aims to maintain the agility and partner-centric focus that defined Hornetsecurity’s success, while backing it with Proofpoint’s extensive global resources and cutting-edge threat intelligence. The acquisition solidifies Proofpoint’s commitment to capturing a larger share of the burgeoning European cybersecurity market, a region that is rapidly adopting M365 and is grappling with heightened cyber threats.
